Not a Licensed Mortgage Servicer

Guardian Notes Servicing, LLC is a software and record-keeping platform. Unless we have entered into a separate, written servicing agreement explicitly stating otherwise, we are not acting as a licensed mortgage servicer, escrow agent, debt collector, or loan originator. The Service does not satisfy any statutory requirement that loan servicing be performed by a licensed or registered entity. It is your responsibility to determine whether your jurisdiction requires licensing for the activities you undertake.

Accuracy of Data and Calculations

While we strive to ensure that amortization schedules, payoff quotes, tax summaries, and other computational outputs are mathematically accurate, Guardian Notes makes no representation or warranty as to the completeness, accuracy, reliability, suitability, or availability of any calculations generated by the platform. Payment dates, interest accruals, late fees, and year-end tax figures depend on the data you enter and may not reflect actual account activity. You must independently verify all figures before reliance.

No Attorney-Client or Fiduciary Relationship

Your use of the Service does not create an attorney-client relationship, accountant-client relationship, broker-client relationship, or any other fiduciary relationship between you and Guardian Notes. Communications through the platform are not privileged. If you need legal or tax advice regarding a seller-financed transaction, you should retain an independent attorney or CPA licensed in your jurisdiction.

Compliance and Regulatory Responsibility

Seller-financed real estate transactions are subject to a complex web of federal and state laws, including but not limited to the Dodd-Frank Wall Street Reform and Consumer Protection Act, the SAFE Mortgage Licensing Act, state usury statutes, consumer protection laws, and local recording and disclosure requirements. Guardian Notes does not review your transactions for compliance with any of these laws. You are solely responsible for ensuring that your note, mortgage, deed of trust, or land contract complies with all applicable legal and regulatory requirements.

YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, GUARDIAN NOTES SERVICING, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY LOSS, DAMAGE, OR HARM ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM DATA ENTRY ERRORS, COMPUTATIONAL MISTAKES, PLATFORM DOWNTIME, UNAUTHORIZED ACCESS, OR RELIANCE ON ANY OUTPUT GENERATED BY THE PLATFORM.

Guardian Notes does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites or services. Your interactions with third-party providers are governed solely by their terms and policies.

Indemnification by Users

BY USING THE SERVICE, YOU AGREE TO INDEMNIFY AND HOLD HARMLESS GUARDIAN NOTES SERVICING, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF OR IN ANY WAY CONNECTED WITH (A) YOUR USE OF THE SERVICE; (B) ANY LOAN, NOTE, OR REAL ESTATE TRANSACTION YOU ADMINISTER OR TRACK USING THE PLATFORM; (C) ANY DISPUTE BETWEEN YOU AND A BORROWER, BUYER, OR OTHER PARTY; OR (D) YOUR BREACH OF ANY APPLICABLE LAW OR REGULATION.
